You and your company are among a select group to receive this invitation to offer. Newlife Energy Exploration currently has mineral rights to an aggregate of 50,000 acres located within the Newfound Shale basin. Due to a redirection of exploration resources in a different geographic location, Newlife is considering a sale of its entire interests in the Newfound Shale. We are therefore soliciting offers to acquire the entire set of interests from potentially interested buyers.
We have prepared a data room for you and your advisors to review in preparation for making an offer. Please contact our attorneys, Energy Law Group P.C. ((555)555-555) to arrange a time to inspect the contents of the data room. We have prepared the attached draft Assignment Agreement for your review and comment.
Your offer must be submitted in writing to me at the above address by 5:00 p.m. August 10, 2018, and must contain:
- The total purchase price you agree to pay for the assigned interests
- The date by which you would be prepared to close the acquisition
- Whether or not your purchase will require you to obtain third party financing
- A signed copy of the Acquisition Agreement marked with any changes you require
After we have reviewed all offers we will notify the one selected in order to proceed to a closing.
